The reason behind the use of the said contracts is categorized under the political, economic and legal justifications. Nevertheless, the main reasons of pursuing this type of contract are statutory requirements such as Principles of 43, 44, 45 and 81 of the Constitution, compliance with the principles of state’s possession and sovereignty over oil and gas resources, and securing and providing state’s interests as well as requirements for economic development. The buy-back contracts, as designed and used in Iran, not only aim to secure state sovereignty over oil and gas resources, but also the contractor (foreign investor) would be obliged to transfer and hand over the field after commissioning and production process to the National Iranian Oil Company.}, keywords = {Buy-Back Contracts,Development of Oil and Gas Reservoirs,Upstream Section of Oil and Gas Industry,Foreign Investment}, title_fa = {دلایل استفاده از قراردادهای بیع متقابل در بخش بالادستی صنعت نفت و گاز ایران}, abstract_fa = {استفاده از قراردادهای بیع متقابل در بخش بالادستی صنعت نفت و گاز ایران از اوایل دهه هفتاد شمسی به‌عنوان یکی از سازوکار‌های قراردادی رایج در جذب سرمایه‌گذاری به‌ویژه سرمایه‌گذاری خارجی قرار گرفت که دلیل آن را باید در وجود برخی از محدودیت‌های سیاسی، اقتصادی و حقوقی جستجو نمود. با‌وجود این، عمده‌ترین دلایل استفاده از قراردادهای مذکور در این حوزه را می‌توان وجود الزامات یا محدودیت‌های قانونی از قبیل اصول 43 و 44 و 45 و81 قانون اساسی و همچنین رعایت اصولی از قبیل اصول مالکیت و حاکمیت دولت بر منابع و مخازن نفتی و گازی و تأمین مصالح کشور و ضرورت توسعه اقتصادی دانست. قرارداد بیع متقابل در بخش بالادستی صنعت نفت و گاز به‌نحوی طراحی شده است که دولت میزبان به دلیل الزامات قانونی فوق، هیچ‌گونه مالکیت یا مشارکتی را برای شرکت سرمایه‌گذار خارجی به‌رسمیت نشناخته و وی را مکلف می‌نماید تا پس از راه‌اندازی و تولید، میدان را به شرکت ملی نفت ایران (کارفرما) واگذار نماید.}, keywords_fa = {قراردادهای بیع متقابل,توسعه میدان‌های نفتی و گازی,بخش بالادستی صنعت نفت و گاز,سرمایه‌گذاری خارجی}, url = {https://www.cilamag.ir/article_16353.html}, eprint = {https://www.cilamag.ir/article_16353_12c9f3e098060bbee1a319b2bf65f238.pdf} }
